a) Law on Technology Transfer No. 07/2017/QH14 dated 19 June 2017, as amended by Law No. 115/2025/QH15 dated 10 December 2025, effective from 1 April 2026

b) Law on Intellectual Property No. 50/2005/QH11, as amended by Laws No. 36/2009/QH12, 42/2019/QH14, 07/2022/QH15 and Law No. 131/2025/QH15 dated 10 December 2025, effective from 1 April 2026

9. Frequently asked questions

a) Must a technology transfer agreement be registered?

It depends on the type of technology, the direction of the transfer and the source of funding. The amended Law on Technology Transfer 2025 restates the cases requiring registration, licensing or voluntary registration. 7S Law identifies the specific obligations for each agreement.

b) Must a trademark licence be registered with the IP Office?

A trademark licence takes effect as agreed by the parties; registration makes it enforceable against third parties and supports royalty remittance and expense deduction.

c) Can technology or IP be contributed as capital?

Yes. Technology and IP rights may be contributed as capital once valued in accordance with the law. 7S Law advises on valuation and contribution procedures.

d) How does technology transfer differ from franchising?

Technology transfer focuses on technical processes and know-how. Franchising transfers an entire business system associated with a trademark and is governed by the Commercial Law.
